Community Service Agreement
Version 2026-10-16 · Between Premiumcare, LLC, operating as Premium Care Wellness Checks ("we", "us"), and the community named on the signed roster ("the Community").
1. The service
- A trained, RN-supervised Care Caller phones each enrolled resident once a day, at the time or within the window set for them, for about 5 minutes.
- After each call, a short note goes to the loved ones the resident (or their representative) approved.
- If a resident isn't reached after three tries, they are listed in one alert to the Community's alert contact at 11 AM, 3 PM or 7 PM. We phone the Community's urgent line only if a resident goes unreached two days in a row or mentions an urgent concern. Urgent concerns go to Community staff first, with a link to record that someone checked on the resident.
- If a resident appears to be having an emergency during a call, we call 911 and then notify the Community.
- The Community gets a private dashboard (roster, today's calls, concerns, family sign-ups, invoices and a monthly report).
2. What the service is not
- The calls are non-medical. We don't provide care, nursing, medical advice, medication administration, monitoring or emergency response.
- The service does not replace the Community's own checks, call systems, staffing or care plans, and doesn't change any duty the Community has to its residents under its license or the law.
- Calls can be missed (for example, phone outages, a resident away from the phone, or a busy line). The Community should not rely on the calls as its only way of knowing a resident is safe.
3. The Community's part
- Give accurate resident information and keep it current through the dashboard: moves, deaths, hospital stays, new phone numbers and contacts.
- Tell residents about the service (for example, with our resident notice) and don't enroll anyone who has said no.
- Keep an alert contact and an urgent line that are answered every day, and respond to alerts within a reasonable time.
- Keep the dashboard link private and share it only with staff who need it.
4. Consent
We ask each resident for their own agreement on the first call. Where a representative (POA, conservator or responsible party) decides for a resident, we send them a consent link, and that resident's calls start only after they agree. No note goes to any loved one before the resident or representative agrees. Anyone can stop the calls or notes at any time.
5. Privacy
We use resident and family information only to provide the service, never sell it, and don't use it for advertising. Our Resident Privacy Notice and Privacy Policy describe how we handle it. Each party will protect the other's confidential information and use it only for this service.
6. Fees and billing
- The Community pays per enrolled resident under our current community price schedule, monthly or yearly (yearly at 10% off). The first 30 days are a free pilot for the residents enrolled at sign-up (up to 20% of the Community's residents, at least 5 and up to 25). Billing starts on day 31.
- Roster changes take effect on the next invoice. On yearly plans, added residents are invoiced for the rest of the year. Residents waiting on a representative's agreement are not billed until they agree.
- Card and bank (ACH) payments are charged automatically. Invoice billing is due within 15 days. If payment fails and our payment processor stops retrying, calls pause until the balance is paid.
- There are no partial-period refunds. Calls continue through the period already paid for.
7. Term and cancellation
This agreement runs month to month (or for the year, on a yearly plan) until either party cancels. The Community can cancel any time by calling or emailing us; we can end the service with 30 days' written notice. Calls continue through the end of the paid period.
8. Responsibility and limits
- Each party is responsible for its own actions and those of its staff.
- Neither party is liable to the other for indirect, special or consequential damages.
- Our total liability under this agreement is limited to the fees the Community paid in the three months before the claim, except where the law does not allow that limit (for example, gross negligence or willful misconduct).
9. General
- California law governs this agreement. It works together with our Terms of Service; if they conflict, this agreement controls for community plans.
- We may update this agreement with 30 days' notice by email; continuing the service after that date means acceptance.
- Typing a name and checking the agreement box on our roster form is a valid electronic signature on behalf of the Community, by a person authorized to sign for it.
